Welcome to Predikt (hereinafter referred to as "we," "us," or "our"). These terms and conditions govern your use of our services, software products, and website. 1.1 "Client" refers to any individual or entity that engages our services.

1.2 "Services" refers to all software development services provided by Predikt.

1.3 "Agreement" refers to these terms and conditions and any supplementary agreements or contracts.

2. Services

2.1 We offer a range of software development services, including but not limited to custom software development, application development, web development, and consulting.

2.2 We reserve the right to modify or discontinue our services, or any part thereof, at any time without prior notice.

3. Client Responsibilities

3.1 The Client agrees to provide all necessary materials, information, and access required for Predikt to perform the services effectively.

3.2 The Client shall ensure that any information or material provided to us is accurate, complete, and lawful.

3.3 The Client is responsible for obtaining any necessary permissions, licenses, or authorizations to engage in projects utilizing third-party content.

4. Intellectual Property

4.1 All intellectual property rights related to the Services provided by Predikt remain with us unless otherwise agreed in writing.

4.2 The Client will be granted a limited, non-exclusive, non-transferable license to use the software and deliverables upon full payment for the services rendered.

4.3 The Client acknowledges that all ideas, concepts, and methodologies developed in connection with the service are the exclusive property of Predikt.

5. Confidentiality

5.1 Both parties agree to maintain the confidentiality of any proprietary or confidential information received during the course of the agreement.

5.2 This obligation of confidentiality shall survive the termination of this Agreement.

6. Payment Terms

6.1 The Client agrees to pay all fees as outlined in the project proposal or contract.

6.2 All invoices are due within 30 days from the invoice date unless otherwise specified.

6.3 Late payments may incur a fee and could result in the suspension of services.

7. Warranties and Disclaimer

7.1 We strive to provide high-quality services; however, we do not warrant that our services will be error-free or uninterrupted.

7.2 The Client acknowledges that all services are provided on an "as-is" basis, and we disclaim all warranties, express or implied, including but not limited to, implied warranties of merchantability and fitness for a particular purpose.

8. Limitation of Liability

8.1 Predikt shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services.

8.2 Our total liability to the Client shall not exceed the total amount paid by the Client for the services.

9. Termination

9.1 Either party may terminate this Agreement with 30 days written notice to the other party.

9.2 In the event of termination, the Client shall pay for all services rendered up to the date of termination.

10. Changes to the Terms

11.1 We reserve the right to amend these Terms and Conditions at any time. Any changes will be posted on our website and will become effective immediately upon posting.

11.2 It is the Client's responsibility to review the terms regularly.
